3. User Obligations and Responsibilities
You agree to use the services lawfully, respectfully, and in a manner consistent with the educational purpose of the Company. You are responsible for ensuring that all information you provide to us is accurate, current, and complete.
You further agree that you will:
- Attend sessions on time and prepare reasonably for lessons and assessments;

- Comply with all classroom rules, technology requirements, and participation guidelines;

- Ensure that any equipment, internet connection, software, or environment required for online learning is adequate for participation; and
- Promptly notify us of any changes relevant to scheduling, billing, or participation, including for minors or dependent learners.
If you enroll a child or teen in our programs, you are responsible for supervising the minor as appropriate, ensuring age-appropriate internet use, and complying with all attendance, communication, and consent requirements we may impose.
We reserve the right to suspend or terminate access to services for conduct we reasonably determine is harmful, disruptive, illegal, or inconsistent with these Terms.
4. Payment Terms and Conditions
Fees for services, packages, assessments, and materials will be presented at the time of registration, booking, or invoice issuance. All prices are stated in Canadian dollars unless otherwise indicated and may be subject to applicable taxes, including GST/HST/PST where required by law.
Unless otherwise agreed in writing, payment is due in advance of the first session, class, or package commencement. We may require payment by credit card, electronic transfer, or another approved method.
You authorize us, or our payment processor, to charge your selected payment method for all applicable fees, taxes, late charges, cancellation charges, and other amounts due under these Terms.
Late or failed payments may result in:
- Suspension of access to classes or learning materials;
- Rescheduling limitations;
- Administrative fees, where permitted by law; and/or
- Referral to collections or legal enforcement, where appropriate and lawful.
We may revise pricing from time to time. Any price change will apply prospectively and will not affect services already paid for, except as otherwise permitted by law or expressly stated in the applicable program terms.
5. Cancellation and Refund Policy
Cancellation, rescheduling, and refund rights may vary depending on the service type, package, instructor availability, and whether the service is delivered online or in person. The following general rules apply unless a more specific written policy or consumer law requires otherwise:
- Private lessons: Cancellations or rescheduling requests must be made with reasonable notice, typically at least 24 hours before the scheduled session, unless otherwise stated in the booking terms. Missed sessions or late cancellations may be charged in full.
- Group classes: Fees for group classes are generally non-transferable and non-refundable once the class term has begun, except where required by law or as expressly stated in a program-specific policy.
- Packages and prepaid programs: Refunds for unused portions may be available only where required by law, where the Company agrees in writing, or where a program-specific policy provides otherwise. Any administrative fees or completed sessions may be deducted from the refund amount, to the extent permitted by law.
- Children and teen programs: Missed sessions due to absence, scheduling conflicts, or student non-participation are generally not refundable.
- Exam preparation and seasonal programs: These may be subject to stricter refund restrictions due to limited enrollment and planning commitments.
If we cancel a session or substantially modify a service and are unable to provide a reasonable replacement, we will generally offer a reschedule, account credit, or refund for the affected portion, as required by law and our internal policy.
To request a cancellation, refund, or rescheduling, you must contact us using the contact details provided in these Terms. Refunds, where approved, will be processed using the original payment method unless otherwise agreed. Processing times may vary depending on the payment provider and financial institution.
Nothing in this section limits any non-waivable rights you may have under applicable Canadian consumer protection laws.
6. Liability Limitations
To the fullest extent permitted by applicable law, Maple Language Academy Inc., its directors, officers, employees, instructors, contractors, agents, and affiliates shall not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunities arising out of or relating to your use of our services.
Our educational services are provided for learning and instructional purposes only. We do not guarantee specific outcomes, including but not limited to exam results, fluency level, accent reduction, academic grades, professional advancement, or immigration-related outcomes.
While we strive to provide high-quality instruction, language learning outcomes depend on many factors outside our control, including attendance, practice, learner aptitude, prior knowledge, and engagement.
To the extent permitted by law, our total aggregate liability for any claim arising out of or relating to the services or these Terms shall not exceed the amount paid by you to the Company for the specific service giving rise to the claim during the three (3) months preceding the event giving rise to liability, or such other amount as may be required by applicable law.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law, including liability for gross negligence, willful misconduct, fraud, or death or personal injury caused by negligence where such limitation is prohibited.
7. Intellectual Property Rights
All content, materials, lesson plans, worksheets, recordings, assessments, trademarks, logos, course structures, methodologies, website content, and other intellectual property provided by Maple Language Academy Inc. are owned by or licensed to the Company and are protected by Canadian and international intellectual property laws.
Subject to your compliance with these Terms and payment of all applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable, personal license to access and use the materials solely for your own educational purposes or, in the case of minors, for the enrolled learner’s personal educational use.
You must not, without our prior written consent:
- Copy, reproduce, modify, publish, distribute, sell, sublicense, or create derivative works from our materials;
- Record live classes or sessions, except where we expressly permit it in writing;
- Use our content for commercial tutoring, competing services, or public display; or
- Remove proprietary notices or alter branding on our materials.
If you provide feedback, suggestions, testimonials, or ideas to us, you grant the Company a non-exclusive, worldwide, royalty-free, perpetual license to use that feedback for business, marketing, operational, and improvement purposes, subject to applicable privacy laws and any required consents.
8. Data Protection and Privacy
We collect, use, disclose, and retain personal information in connection with the provision of our services, payment processing, account administration, communication, scheduling, educational progress tracking, and legal compliance.
We will handle personal information in accordance with applicable Canadian privacy laws, including, where applicable, the Personal Information Protection and Electronic Documents Act (PIPEDA) and relevant provincial privacy legislation.
Depending on your location and the nature of our services, personal information may include names, contact details, payment information, learner age, scheduling preferences, performance notes, communications, and platform usage data.
We may use third-party service providers, including payment processors, online meeting platforms, email services, learning management tools, and analytics providers, to operate our business. These providers may process personal information on our behalf and may be located in Canada or other jurisdictions. By using our services, you acknowledge that your information may be processed outside your province or outside Canada, subject to applicable legal safeguards.
If you are a parent, guardian, or legal representative providing information about a minor, you represent that you have the authority to do so and consent to the collection and use of that information for educational administration and related purposes.
For questions about privacy or to request access, correction, or deletion of information where legally available, please contact us using the information in Section 12.
9. Force Majeure
We shall not be liable for any delay, interruption, cancellation, or failure to perform our obligations under these Terms if caused by events beyond our reasonable control, including but not limited to acts of God, severe weather, fire, flood, epidemic, pandemic, war, terrorism, labour disputes, internet or telecommunications failures, power outages, government actions, platform outages, or unavailability of instructors or facilities due to circumstances beyond our control.
In such cases, we may reschedule sessions, offer alternative delivery methods, or provide credits or refunds where required by law or deemed appropriate by the Company.
10. Changes to Terms
We may revise or update these Terms at any time by posting the updated version on our website or otherwise notifying you through reasonable means. Changes will be effective upon posting or on the effective date stated in the revised Terms, whichever is later, unless otherwise required by law.
Your continued use of our services after any update constitutes acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using our services and, where applicable, cancel any future bookings in accordance with the cancellation policy.
11. Applicable Law and Jurisdiction
These Terms, your use of the services, and any related dispute shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles.
Subject to any mandatory consumer protection laws or other non-waivable statutory rights, you agree that the courts located in Toronto, Ontario shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the services.
